Terms Of Use
Welcome to Gemi Health a technology-enabled digital health platform owned, operated, and managed by Blanket Health Technologies Private Limited, a private limited company incorporated under the Companies Act, 2013, having Corporate Identification Number (CIN) U62011MH2026PTC468421 and its registered office at Flat-26, Bldg-B, Home CHS Ltd, Near Sadhana School, Santacruz (West), Mumbai, Maharashtra, India – 400054 (hereinafter referred to as the “Company”, “we”, “our”, or “us”).
These Terms of Use (“Terms” or “Agreement”) constitute a legally binding agreement between the Company and any individual or entity that accesses, browses, registers on, or uses the Website, application, or any associated services (collectively referred to as the “Platform”). The expressions “you,” “your,” or “User” shall mean any person or entity accessing or using the Platform for any purpose, including business users, organizations, authorized representatives, or visitors.
Your use of the Platform shall also be subject to our Privacy Policy and any other policies, notices, or disclaimers published on the Website from time to time. These documents, together with these Terms, form an integral and binding agreement between you and the Company.
By accessing or using Gemi Health, you acknowledge that the Platform is owned and operated by the Company, and your use of the Services is subject to these Terms of Use and other applicable policies published on the Platform.
Gemi Health (hereinafter referred to as the “Platform”) is a digital healthcare technology platform that provides an integrated suite of software-enabled services designed to facilitate, streamline, and enhance clinical workflows and administrative processes within healthcare settings (the “Services”). The Platform leverages digital interfaces, automation, and artificial intelligence–enabled tools to support interactions between medical practitioners and patients in a structured and efficient manner.
Definitions
For the purposes of these Terms of Use, the following terms shall have the meanings ascribed to them below. The definitions shall apply equally to the singular and plural forms of the terms defined:
“Agreement” means these Terms of Use, together with the Privacy Policy, consent notices, disclaimers, and any other policies, guidelines, or supplemental terms issued by the Company from time to time, all of which collectively constitute a legally binding agreement between the User and the Company.
“AI Services” means the artificial intelligence and machine learning-enabled features, functionalities, and tools made available on or through the Platform, including but not limited to automated clinical intake assistance, dynamic questioning, structured clinical summary generation, data extraction, and any other algorithmic or probabilistic outputs generated by the Platform. For the avoidance of doubt, AI Services are assistive in nature only, do not constitute medical advice, diagnosis, or treatment, and are subject to inherent limitations including inaccuracies, incompleteness, or unintended outputs.
“Applicable Law” means all applicable statutes, enactments, acts, rules, regulations, notifications, circulars, guidelines, and governmental directives in force in India, including but not limited to the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, applicable medical regulations, and any rules or guidelines issued by the National Medical Commission, State Medical Councils, or any other competent authority, as amended from time to time.
“Company” means BLANKET HEALTH TECHNOLOGIES PRIVATE LIMITED, including its affiliates, subsidiaries, successors, and permitted assigns.
“Consultation” means any interaction, engagement, or communication between a Patient and a Doctor facilitated through the Platform, including but not limited to patient intake, review of medical history, clinical assessment, diagnosis, prescription, advice, follow-up, or generation of consultation reports, whether conducted physically, digitally, or in a hybrid manner.
“Content” means all information, data, text, images, audio, video, software, code, clinical summaries, reports, prescriptions, designs, and other materials made available on or through the Platform, whether generated by the Company, Users, Doctors, Patients, or through AI Services.
“Doctor” means any individual who:
is duly qualified and licensed to practice medicine under Applicable Law in India, including registration with the National Medical Commission or a relevant State Medical Council; and
has registered on and uses the Platform for the purpose of managing clinical workflows, conducting Consultations, and providing medical services to Patients.
For the avoidance of doubt, Doctors act independently and are not employees, agents, or representatives of the Company.
“Health Data” means any data or information relating to the physical or mental health condition of a Patient, including but not limited to medical history, symptoms, clinical findings, diagnoses, prescriptions, laboratory results, consultation records, lifestyle information, and any other health-related or clinical information, whether provided directly by the Patient, generated by the Doctor, or processed through AI Services. Health Data shall be deemed to constitute sensitive personal data under Applicable Law.
“Patient” means any individual who accesses, registers on, or uses the Platform for the purpose of obtaining healthcare services, Consultations, or related services from a Doctor, including through QR-based onboarding, web interfaces, or any other access mechanism provided by the Platform.
“Platform” means, collectively, the Company’s technology infrastructure and digital ecosystem, including websites, mobile applications, web applications, APIs, databases, software systems, dashboards, interfaces, and all associated tools and services branded as “Gemi Health”, through which the Services are made available.
“Services” means all services, functionalities, and offerings provided by the Company through the Platform, including but not limited to:
patient onboarding and registration;
AI-assisted clinical intake and structured history collection;
clinical workflow management tools for Doctors;
consultation documentation, prescription generation, and report generation tools;
healthcare data storage, processing, and management; and
any ancillary, support, or related services provided by the Company from time to time.
For clarity, the Services are technology facilitation services only and do not include the provision of medical care.
“User” means any individual or entity that accesses, browses, registers on, or uses the Platform in any manner, including but not limited to Doctors, Patients, and general visitors.
“User Data” means any and all data, information, content, or materials submitted, uploaded, transmitted, or otherwise made available by a User through the Platform, including Personal Data and Health Data, as well as any data generated in connection with the use of the Services.
“Personal Data” shall have the meaning ascribed to it under the Digital Personal Data Protection Act, 2023, and shall include any data about an identifiable individual, including but not limited to name, contact details, identifiers, and Health Data.
“Consultation Report” means the structured report generated through the Platform based on inputs provided and validated by the Doctor, which may include patient details, clinical history, examination findings, diagnosis, prescription, and treatment plan.
“Third-Party Services” means any external platforms, systems, or service providers integrated with or used in connection with the Platform, including but not limited to cloud infrastructure providers, authentication services, payment gateways, communication services, and analytics tools.
“Intellectual Property” means all intellectual property rights of any nature whatsoever, including copyrights, trademarks, patents, trade secrets, software, algorithms, databases, and proprietary technology associated with the Platform and Services.
“Confidential Information” means any non-public, proprietary, sensitive, or confidential information disclosed by one party to the other, including but not limited to business information, technical data, Health Data, and User Data.
“Website” means the official website(s) of the Company through which the Platform and Services are made available, including any subdomains or related web pages.
Acceptance Of Terms
By accessing, browsing, registering on, or otherwise using the Platform, you expressly acknowledge and agree that:
- you are at least eighteen (18) years of age or such other age as may be required under applicable law to form a legally binding contract;
- you possess the full legal capacity, authority, and competence to enter into and be bound by these Terms; and
- you have read, understood, and agree to comply with these Terms, together with all applicable laws, rules, and regulations governing your use of the Platform.
Your access to or use of the Platform constitutes your irrevocable acceptance of these Terms and creates a binding legal agreement between you and Gemi Health.
If you do not agree with any provision of these Terms, in whole or in part, you must immediately discontinue access to and use of the Platform.
Scope Of Services
Gemi Health provides a technology-enabled digital platform designed to facilitate and support healthcare-related workflows and interactions. The Services offered through the Platform include, without limitation:

AI-assisted patient intake and generation of structured clinical summaries;
Appointment scheduling, queue management, and patient flow coordination;
Digital tools to assist practitioners during consultations, including structured data capture and workflow support;
Prescription creation and consultation report generation tools;
Patient registration and onboarding through QR code-based or web-based interfaces; and
Communication, notification, and related support services.
The Platform is made available to and may be accessed by the following categories of users:
- Medical Practitioners, being duly licensed doctors, clinicians, or healthcare professionals authorized to provide medical services under applicable law;
- Patients, including individuals accessing the Platform for the purpose of seeking healthcare services, whether as registered users or through walk-in or QR-based access mechanisms; and
- Other authorized users, including administrative staff or other individuals permitted by Gemi Health to access or use the Platform in accordance with these Terms.
For the avoidance of doubt, Gemi Health operates solely as a technology service provider and intermediary platform that facilitates the interaction between patients and medical practitioners. Gemi Health does not provide medical advice, diagnosis, or treatment, nor does it practice medicine or establish any doctor–patient relationship with users. All clinical decisions, diagnoses, treatments, and prescriptions are made exclusively by the relevant medical practitioner, who bears sole responsibility for the same.
Consent And Data Processing
Your use of the Platform is subject to your acceptance of the Company’s Privacy Policy, which governs the collection, use, processing, and storage of personal and health data.
By accessing or using the Platform, you provide explicit consent for processing of your data in accordance with the Privacy Policy and applicable law.
Withdrawal of consent may result in restricted access to the Platform or Services to the extent such Services cannot be provided without such data.
The User hereby provides free, informed, specific, and explicit consent to the collection, use, processing, storage, and disclosure of their Personal Data and Health Data by the Company for lawful purposes directly connected with the operation of the Platform and provision of Services.
Such purposes include, without limitation, facilitating clinical workflows, enabling AI-assisted data processing, improving system functionality, ensuring platform security, preventing misuse, and complying with Applicable Law.
The User acknowledges that such processing shall be limited to what is necessary and proportionate for the specified purposes and shall be carried out in accordance with the Company’s Privacy Policy and Applicable Law.
Nature Of Medical Services
The User expressly acknowledges and agrees that Gemi Health is a technology platform and does not provide medical advice, diagnosis, treatment, or healthcare services of any kind. Without prejudice to the generality of the foregoing:
- Gemi Health does not practice medicine or any other regulated healthcare profession;
- Gemi Health does not establish, and shall not be deemed to establish, any doctor–patient relationship between itself and any User; and
- any information, data, or content made available through the Platform, including outputs generated through automated or AI-enabled tools, is provided solely for facilitative and informational purposes.
All clinical decisions, including but not limited to diagnosis, treatment plans, prescriptions, and medical advice, are made exclusively by the treating medical practitioner, who exercises independent professional judgment.
All medical practitioners using the Platform are independent professionals and are solely responsible for the provision of medical services to patients.
Without limitation, each practitioner shall be exclusively responsible for:
- evaluating patient information and clinical history;
- making diagnoses and determining appropriate treatment plans;
- prescribing medications and issuing medical advice; and
- exercising professional medical judgment in accordance with applicable laws, regulations, and standards of medical practice.
Gemi Health does not control, supervise, or influence the medical judgment or conduct of practitioners and shall not be responsible or liable for:
- any medical negligence, error, omission, or misdiagnosis;
- the quality, appropriateness, or outcome of any treatment or consultation; or
- any acts or omissions of medical practitioners or their staff.
The User agrees that any interaction with a medical practitioner through or facilitated by the Platform is undertaken at the User’s own risk.
The Platform is not intended for use in medical emergencies. Users must seek immediate assistance from appropriate emergency services or healthcare providers in case of any urgent or life-threatening condition.
Ai Features And Limitations
The User acknowledges and agrees that the Platform incorporates artificial intelligence–enabled functionalities (“AI Features”) as part of its Services. Such AI Features may include, without limitation:
- automated and interactive clinical intake processes for collection of patient-reported information; and
- generation of structured clinical summaries based on inputs provided by Users.
These AI Features are designed solely to assist in the organization, structuring, and presentation of information and are intended to support, but not replace, clinical workflows.
All outputs generated through AI Features (“AI Output”) are:
- probabilistic, automated, and based on algorithmic processing of input data;
- provided solely for informational and assistive purposes;
- not intended to constitute, and shall not be construed as, medical advice, diagnosis, or treatment; and
- subject to review, verification, and independent clinical judgment by a duly qualified medical practitioner prior to any reliance or use in a clinical setting.
Gemi Health makes no representations or warranties as to the accuracy, completeness, reliability, or clinical validity of any AI Output.
The Company does not use AI Outputs as a substitute for professional medical judgment, and such outputs are not used to independently determine diagnosis or treatment.
Users expressly agree that:
- AI Output shall not be relied upon as a substitute for professional medical advice, diagnosis, or treatment;
- any clinical or medical decisions shall be made solely by a qualified medical practitioner exercising independent professional judgment; and
- any reliance placed on AI Output without appropriate medical review shall be at the sole risk of the User.
The Company implements reasonable safeguards in relation to AI Features; however, no AI system is error-free, and Users acknowledge inherent limitations of such technologies.
To the fullest extent permitted under applicable law, Gemi Health expressly disclaims all liability arising out of or in connection with:
- any inaccuracies, errors, or omissions in AI Output;
- any decisions made or actions taken in reliance on AI Output; or
- any failure, interruption, or limitation of AI Features.
The User agrees that the use of AI Features is at their sole risk and discretion.
User Obligations
By accessing or using the Platform, the User hereby agrees, undertakes, and warrants that they shall:
Compliance with Applicable Laws
- use the Platform strictly in accordance with applicable laws, rules, regulations, and professional standards, including but not limited to healthcare, data protection, and information technology laws in force in India; and
- not engage in any activity that violates any applicable law or infringes the rights of any third party.
The User shall:
- provide true, accurate, complete, and up-to-date information at all times;
- promptly update any information to ensure its continued accuracy; and
- not submit any information that is false, misleading, fraudulent, or incomplete.
Gemi Health reserves the right to suspend or terminate access to the Platform in the event of any breach of this clause.
The User shall be solely responsible for:
- maintaining the confidentiality and security of their login credentials;
- all activities conducted through their account, whether authorized or unauthorized; and
- promptly notifying Gemi Health of any actual or suspected unauthorized use or breach of security.
The User agrees not to:
- use the Platform for any unlawful, illegal, or unauthorized purpose;
- attempt to gain unauthorized access to any portion of the Platform, systems, networks, or data;
- interfere with, disrupt, or compromise the integrity, performance, or security of the Platform or its underlying infrastructure;
- upload, transmit, or otherwise make available any content that is harmful, abusive, defamatory, obscene, fraudulent, or otherwise objectionable;
- introduce any viruses, malware, or other malicious code into the Platform;
- reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying structure of the Platform; or
- use the Platform in any manner that could damage, disable, overburden, or impair the Services.
Without prejudice to the generality of the foregoing, medical practitioners using the Platform shall:
- comply with all applicable professional, ethical, and regulatory standards governing medical practice;
- ensure that all clinical decisions are based on independent professional judgment; and
- not rely solely on any automated or AI-generated outputs for diagnosis or treatment.
The User agrees that any breach of the obligations set out herein may result in suspension or termination of access to the Platform and may further expose the User to civil and/or criminal liability under applicable law.
The Company shall not be responsible for inaccuracies, incomplete information, or misuse arising from patient-provided inputs, shared device usage, clinic staff actions, or QR-based onboarding mechanisms.
Medical practitioners shall be solely responsible for the accuracy, validity, and authenticity of prescriptions issued through the Platform. The Company shall not be liable for misuse, duplication, forgery, or unauthorized use of prescriptions.
Appointments And Interactions
The Platform provides a technology-enabled interface that facilitates the scheduling, management, and coordination of appointments between patients and medical practitioners. Gemi Health’s role is limited to providing such facilitative tools and does not extend to controlling or managing the availability, conduct, or performance of any medical practitioner.
Gemi Health does not warrant or guarantee:
the availability of any particular medical practitioner at any given time;
the confirmation, rescheduling, or completion of any appointment; or
the continuity, timeliness, or quality of services provided by any medical practitioner.
Any cancellation, delay, or rescheduling of appointments shall be solely attributable to the concerned medical practitioner or the User, as the case may be, and Gemi Health shall bear no responsibility or liability in this regard.
The User expressly acknowledges that any interaction, consultation, or engagement between a patient and a medical practitioner, whether facilitated through the Platform or otherwise, is independent of Gemi Health.
Gemi Health:
- does not employ, control, or supervise medical practitioners;
- is not a party to any interaction or agreement between a patient and a practitioner; and
- does not assume any responsibility for the acts, omissions, services, or conduct of any practitioner.
All risks arising from interactions between Patients and medical practitioners shall be governed by Clause 5 (Nature of Medical Services), and Gemi Health shall not be a party to such interactions.
Data Deletion And Retention
Subject to applicable law and regulatory requirements, a patient may request deletion of their personal data in accordance with the mechanisms provided by Gemi Health.
Upon successful processing of such request:
- all personally identifiable information (“PII”), including but not limited to name, contact details, date of birth, and other identifying attributes, shall be permanently and irreversibly deleted from active systems;
- Clinical and Health Records shall be retained in a pseudonymised, non-identifiable form for a period of up to three (3) years in accordance with applicable medical and regulatory requirements, following which such data shall be permanently deleted.
- consent records associated with the patient shall be deleted, except where retention is required for evidentiary or legal compliance purposes.
For the avoidance of doubt, pseudonymised data shall not permit identification of the individual and shall not be capable of being linked back to the data subject.
In the event a medical practitioner elects to delete their account:
- all personal and professional information relating to such practitioner, including profile data, practice locations, and associated records, shall be deleted from active systems;
- all documents, including credentials and uploaded records, shall be permanently deleted from storage systems; and
- associated user roles and authentication credentials shall be revoked or deleted, subject to applicable system dependencies.
Unless otherwise required by applicable law, no retention period shall apply to practitioner data following account deletion.
Notwithstanding anything to the contrary, Gemi Health shall retain certain audit logs, transaction records, and system logs for purposes of legal compliance, regulatory reporting, dispute resolution, and internal audit.
Such records may include, without limitation:
- logs evidencing user actions, consent capture, and system events; and
- records relating to data deletion requests and their execution.
All such audit and compliance records may be retained for a period of up to seven (7) years, or such longer duration as may be required under applicable law, after which they shall be securely deleted in accordance with Gemi Health’s data retention policies.
Intellectual Property
All rights, title, and interest in and to the Platform, including without limitation:
- all software, source code, object code, and underlying architecture;
- design elements, user interfaces, and visual layouts;
- content, text, graphics, images, and data compilations;
- algorithms, workflows, processes, and AI models; and
- all associated intellectual property rights, including copyrights, trademarks, trade secrets, and proprietary rights, are and shall remain the exclusive property of Gemi Health or its licensors, as the case may be.
Nothing contained in these Terms shall be construed as transferring or assigning any intellectual property rights to the User, except for the limited right to use the Platform in accordance with these Terms.
Subject to compliance with these Terms, Gemi Health grants the User a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for its intended purposes.
The User shall not, directly or indirectly:
- copy, reproduce, modify, adapt, translate, or create derivative works of the Platform or any part thereof;
- distribute, transmit, display, perform, publish, license, or otherwise exploit the Platform for any commercial purpose without prior written consent of Gemi Health;
- reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying structure, or algorithms of the Platform; or
- remove, obscure, or alter any proprietary notices, including copyright or trademark notices, affixed to or contained within the Platform.
Any feedback, suggestions, or inputs provided by the User in relation to the Platform shall be deemed non-confidential and shall become the sole property of Gemi Health. Gemi Health shall be free to use, modify, and incorporate such feedback without any obligation or compensation to the User.
Third-Party Services
The Platform may integrate, interface with, or rely upon certain third-party services, systems, or infrastructure, including but not limited to cloud hosting providers, authentication and identity verification services, payment gateways, messaging services, and other external service providers (collectively, “Third-Party Services”). Such Third-Party Services are provided by independent third parties and are not owned, operated, or controlled by Gemi Health. This includes, without limitation, cloud infrastructure providers, authentication services, and AI service providers used for processing inputs and generating outputs.
The User acknowledges and agrees that Gemi Health has no control over, and shall not be responsible or liable for:
- the availability, uptime, or continuity of any Third-Party Services;
- the security, integrity, or protection of data processed by such Third-Party Services;
- the performance, accuracy, reliability, or functionality of such Third-Party Services; or
- any acts, omissions, errors, or failures attributable to such Third-Party Services or their providers.
Use of certain features of the Platform may be subject to additional terms and conditions imposed by the relevant third-party service providers. The User agrees to comply with all such applicable third-party terms, and Gemi Health shall not be liable for any breach thereof by the User.
To the fullest extent permitted under applicable law, Gemi Health expressly disclaims all liability arising out of or in connection with any Third-Party Services, including any loss, damage, or inconvenience suffered by the User as a result of reliance on or use of such services.
Disclaimers
The Platform and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. The Company does not guarantee uninterrupted, secure, or error-free operation of the Platform and disclaims all liability arising from reliance on the Platform, including any content, data, or outputs made available through it..
Limitation Of Liability
To the fullest extent permitted under applicable law, Gemi Health, its affiliates, directors, officers, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any other intangible losses, arising out of or in connection with:
- the access to, use of, or inability to use the Platform or Services;
- any reliance placed on the Platform, including any content, data, or outputs made available therein; or
- any interaction or engagement between Users and medical practitioners.
Without prejudice to the foregoing, the total aggregate liability of Gemi Health, whether in contract, tort (including negligence), or otherwise, arising out of or in connection with these Terms or the use of the Platform, shall not exceed the amount actually paid by the User, if any, for accessing or using the relevant Services giving rise to the claim.
Without limiting the generality of the above, Gemi Health shall not be liable for:
- any act, omission, negligence, misconduct, or professional error on the part of any medical practitioner, including but not limited to incorrect diagnosis, treatment, or prescription;
- any loss, damage, or consequence arising from inaccurate, incomplete, or misleading information provided by any User;
- any system interruptions, downtime, delays, technical failures, or unavailability of the Platform, including those arising from infrastructure, network, or third-party service dependencies; or
- any unauthorized access to or alteration of User data, except to the extent directly attributable to gross negligence or wilful misconduct of Gemi Health, where such exclusion is not permissible under applicable law.
- any reliance on AI-generated outputs or automated systems without independent professional validation.
Indemnity
The User agrees to defend, indemnify, and hold harmless Gemi Health, its affiliates, directors, officers, employees, agents, licensors, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or in connection with:
- the User’s access to or use of the Platform and Services;
- any breach or violation of these Terms, including any representations, warranties, or obligations contained herein;
- any infringement, misappropriation, or violation of any intellectual property rights, privacy rights, or other rights of any third party by the User;
- any content, data, or information submitted, uploaded, or transmitted by the User through the Platform; or
- any negligent act, omission, misconduct, or violation of applicable law by the User.
Gemi Health reserves the right, at its sole discretion, to assume the exclusive defence and control of any matter subject to indemnification under this Clause, in which event the User shall fully cooperate with Gemi Health in asserting any available defences.
The obligations under this Clause shall survive termination or expiry of these Terms.
Suspension And Termination
Gemi Health reserves the right, at its sole discretion and without prejudice to any other rights or remedies available under law or equity, to suspend, restrict, or terminate the User’s access to the Platform or any part thereof, at any time, with or without prior notice, in the event of:
- any breach or suspected breach of these Terms;
- any violation of applicable laws, regulations, or professional standards;
- any conduct that, in the reasonable opinion of Gemi Health, is harmful, unlawful, fraudulent, abusive, or otherwise detrimental to the Platform, other Users, or third parties; or
- any misuse, unauthorized use, or attempted interference with the integrity, security, or functioning of the Platform.
Gemi Health reserves the right to remove, modify, or disable access to any content, data, or information submitted or made available on the Platform, without prior notice, where such content is determined, in Gemi Health’s sole discretion, to:
- violate these Terms or any applicable law;
- infringe the rights of any third party; or
- pose a risk to the security, integrity, or operation of the Platform.
Upon suspension or termination of access:
- the User’s right to access or use the Platform shall immediately cease;
- Gemi Health may deactivate or delete the User’s account and associated data, subject to applicable data retention obligations; and
- any provisions of these Terms which by their nature are intended to survive termination shall continue in full force and effect.
Gemi Health shall not be liable to the User or any third party for any suspension, restriction, or termination of access to the Platform carried out in accordance with these Terms.
Force Majeure
Gemi Health shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to natural disasters, acts of government, cyber incidents, infrastructure failures, or disruption of third-party services (“Force Majeure Event”). The affected obligations shall be suspended for the duration of the Force Majeure Event, and Gemi Health shall use reasonable efforts to resume performance as soon as practicable. To the fullest extent permitted under Applicable Law, Gemi Health shall not be liable for any loss or damage arising from such events.
Governing Law And Jurisdiction
These Terms, and any dispute, claim, or controversy arising out of or in connection with the access to or use of the Platform or the Services, shall be governed by and construed in accordance with the laws of India, including without limitation:
- the Indian Contract Act, 1872;
- the Information Technology Act, 2000, along with the rules and regulations framed thereunder; and
- the Digital Personal Data Protection Act, 2023, and any applicable rules, guidelines, or amendments thereto.
Subject to the foregoing, the courts at Pune, Maharashtra shall have jurisdiction for interim or injunctive relief only, subject to arbitration under Clause 18.
Dispute Resolution
Any dispute arising out of or in connection with these Terms shall first be resolved through good faith negotiations within thirty (30) days.
Failing such resolution, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, with seat and venue at Pune, Maharashtra, and proceedings conducted in English. The arbitral award shall be final and binding.
Nothing herein shall prevent either party from seeking interim relief from a court of competent jurisdiction
Modifications
Gemi Health reserves the right, at its sole discretion, to amend, modify, update, or replace these Terms, in whole or in part, at any time. Any such modifications shall be effective upon their publication on the Platform or upon such other date as may be specified therein. Gemi Health may, but is not obligated to, notify Users of material changes through reasonable means, including electronic communication or in-platform notifications. It is the responsibility of the User to periodically review these Terms to remain informed of any updates or modifications.
The User’s continued access to or use of the Platform following the publication or notification of any such modifications shall constitute the User’s deemed acceptance of the revised Terms and agreement to be bound thereby.

Entire Agreement
These Terms, together with the Privacy Policy and any other policies, guidelines, or terms expressly incorporated herein by reference, constitute the entire and complete agreement between the User and Gemi Health with respect to the subject matter hereof, and supersede all prior or contemporaneous communications, representations, understandings, or agreements, whether oral or written, relating thereto.
In the event of any conflict or inconsistency between these Terms and any other policy or document published by Gemi Health, these Terms shall prevail to the extent of such conflict, unless expressly stated otherwise.
